GTCR Injects $200 Million Into Sophos Through Debt Financing

Private equity firm GTCR has spearheaded a $200 million second lien term loan for Sophos, the cybersecurity firm currently backed by Thoma Bravo. This capital injection arrives as Sophos undergoes a broader refinancing effort of its existing $2.45 billion first lien debt, marking a strategic shift in the company's financial structure.

The financing deal supports Sophos as it continues to scale its global operations. Headquartered in Oxford, the cybersecurity provider currently secures roughly 625,000 customers, focusing largely on mid-market businesses. The company recently expanded its service portfolio in February 2025 by acquiring Secureworks, a move designed to bolster its enterprise-focused managed detection and response capabilities.

For GTCR, this investment marks a milestone for its newly launched Capital Solutions Fund. Jason Prager, a Managing Director at the firm, noted that the deal capitalized on an existing relationship with Thoma Bravo, allowing for a rapid execution of the loan. Erwin Mock, head of capital markets at Thoma Bravo, credited the collaboration to GTCR’s sector-specific expertise, which helped streamline the refinancing process as it evolved.
