EQT Expands U.S. Footprint with $375 Million Stockbridge Acquisition

Stockholm-based EQT AB has signed an agreement to acquire San Francisco’s Stockbridge, a move designed to transform EQT’s real estate arm into a globally diversified investment platform. The deal, valued at $375 million in base cash, adds $16.5 billion in fee-generating assets to EQT’s existing portfolio.

EQT Expands U.S. Footprint with $375 Million Stockbridge Acquisition

The acquisition marks a strategic shift for EQT Real Estate as it seeks to scale its presence in high-conviction sectors, including industrial outdoor storage and alternative living, such as manufactured housing. Stockbridge, which oversees approximately $27 billion in gross asset value, brings a top-tier open-ended core fund that consistently ranks in the top 5% of its peer group. By integrating these capabilities, EQT intends to leverage its proprietary data and AI tools to enhance Stockbridge’s investment underwriting and management processes.

Under the terms of the agreement, Stockbridge will operate as a dedicated business unit within EQT Real Estate. Senior leadership, including Stockbridge CEO Terry Fancher, will transition into new roles, with Fancher becoming Vice Chair of EQT Real Estate. Key management shareholders have agreed to reinvest half of their proceeds into EQT AB shares, signaling long-term alignment with the firm’s growth trajectory. The transaction, which includes potential earnouts of up to $175 million based on performance targets through 2030, is expected to close in the first quarter of 2027.
